Estating Partner Poland expands access to international infrastructure for structured private debt transactions, serving Polish Mid-Market companies and Specialty Finance operators. Financing is structured as Swiss Loan Notes with an international ISIN, prepared for integration with custody and settlement infrastructure, including Euroclear or Clearstream.

A gap remains in the local capital market between standard financing products and the needs of companies requiring a more flexible debt structure. Structured private debt offers greater flexibility in shaping repayment schedules, financing tenor, security arrangements and the alignment of debt obligations with the company’s cash flows and operating cycle.
We connect local financing needs with international private debt infrastructure. A company’s operating model, repayment source and assets are translated into a structured Swiss debt instrument prepared for assessment by institutional market participants.

The instrument is established within an appropriate Swiss legal structure, assigned an ISIN and prepared for integration with Euroclear or Clearstream.
The financing structure is aligned with the company’s cash flows, assets, security package and operating cycle. This includes the repayment schedule, financing tenor and payment profile.
INFRASTRUCTURE
Estating is responsible for designing the debt transaction structure — from defining the purpose and amount of financing, repayment schedule, financing tenor and instrument terms to the security structure, obligations of the parties and risk-control mechanisms.
On this basis, a Swiss debt instrument is prepared together with issuance documentation, an ISIN and the infrastructure required for its administration. The process includes integration with the relevant custody and settlement systems, appointment of a paying agent, and the administration of payments, reporting and instrument redemption.
Estating works with an international network of investors, presents prepared transactions to appropriate debt capital providers and leads the capital-raising process for individual issuances. Each transaction is presented on the basis of organised documentation, a clearly defined repayment source, security package and instrument terms.
